These Terms of Service ("Terms") govern your access to and use of harvextrading.com (the "Platform") operated by Harvex Trading ("Harvex", "we", "our", "us"). By using our Platform, you agree to be bound by these Terms.

2. Purpose of the Platform

Harvex is a B2B trade management platform for the fresh produce industry. The Platform enables wholesalers (buyers) and their suppliers (sellers) to manage trade agreements, orders, quality control, certificates, settlements, and invoicing digitally.

Harvex facilitates the management and administration of trade relationships between parties but does not act as a buyer, seller, or intermediary in the physical trade of goods.

3. Account Registration

To access the Platform, users must create an account or be invited by an existing user. You agree to provide accurate, complete, and updated information about yourself and your company. Each account is linked to a company entity on the Platform.

Harvex reserves the right to suspend or terminate any account that provides false information or violates these Terms.

4. Trade Agreements and Orders

The Platform allows users to create and manage digital trade agreements that define products, pricing, terms, and conditions between a buyer and a supplier. Orders are placed within the scope of these agreements.

Harvex is not a party to any trade agreement or order created on the Platform. All contractual obligations, including delivery, payment, and quality, are solely between the buyer and the supplier. The Platform serves as a tool to facilitate and document these arrangements.

5. Role of Harvex

Harvex provides software tools for trade management. We do not take ownership of goods, guarantee the performance or quality of products, or bear responsibility for the fulfillment of obligations between trading parties.

Harvex does not process, hold, or transfer payments between users. All financial transactions occur directly between buyer and supplier through their own banking arrangements, based on payment terms agreed upon in their trade agreement.

6. User Responsibilities

• Ensure all trade activities comply with applicable laws and regulations
• Maintain confidentiality of account credentials
• Provide truthful product, company, and trade information
• Use the Platform in a professional and lawful manner
• Ensure that certificates and documents uploaded are valid and authentic

Harvex may remove any content or suspend access if misuse, fraud, or illegal activity is detected.

7. Fees and Pricing

Access to the Platform may be subject to subscription fees or service charges depending on your plan. Applicable fees will be communicated before you commit to a paid plan. Invited suppliers may use the Platform at no cost for features related to responding to trade agreements and managing orders.

8. Data and Privacy

Your personal and company data is handled in accordance with our Privacy Policy. By using Harvex, you consent to our data practices and processing activities described therein. Trade data (agreements, orders, invoices) is accessible only to the parties involved in the respective trade relationship.

9. Intellectual Property

All content, trademarks, software, and materials on the Platform are the property of Harvex or its licensors. Users may not copy, distribute, or reproduce any materials without prior written consent. Product data and trade documents uploaded by users remain the property of the respective users.

10. Limitation of Liability

Harvex provides the Platform "as is" and makes no warranties regarding its operation, accuracy, or availability. To the extent permitted by law, Harvex is not liable for:

• Indirect, incidental, or consequential damages arising from Platform use
• Losses resulting from trade disputes between users
• Product quality, delivery failures, or payment defaults between trading parties
• Temporary unavailability of the Platform due to maintenance or technical issues

11. Termination

We may suspend or terminate access at any time if a user violates these Terms, engages in fraudulent behavior, or misuses the Platform. Users may request account deletion by contacting info@harvextrading.com. Upon termination, access to trade data may be retained for a reasonable period to allow completion of outstanding transactions.

12. Governing Law

These Terms are governed by the laws of Belgium. Any disputes shall be resolved under Belgian jurisdiction.

13. Updates to the Terms

Harvex may revise these Terms periodically. The most recent version will always be available on this page, with the effective date indicated above. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
